These Terms and Conditions ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") provided by Mintpath LLC ("Mintpath," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Services

Mintpath provides AI-powered software infrastructure, autonomous agent systems, consulting services, and related digital products. Our Services include but are not limited to MintpathOS, its subsystems, APIs, and any software or content delivered through our platforms.

2. Accounts

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit malware or malicious code
  • Resell or redistribute the Services without authorization
  • Use the Services in a manner that infringes the rights of others

4. Intellectual Property

All content, software, technology, designs, and intellectual property in the Services are owned by Mintpath LLC or its licensors. This includes but is not limited to MintpathOS, its architectural primitives (Governor, Epoch, Padlock, Affect Kernels, Memory System, MADD), and all associated documentation, APIs, and implementations.

You may not copy, modify, distribute, sell, or lease any part of our Services or intellectual property without express written permission.

5. Licensing

Access to MintpathOS primitives and enterprise features is available under separate licensing agreements. Contact joe@mintpath.ai for licensing inquiries.

6. Payment Terms

Certain Services require payment. All fees are stated in US dollars. Payments are processed through Stripe and/or Gumroad. You agree to pay all fees associated with your use of paid Services. All sales are final unless otherwise stated.

For subscription services, billing occurs on a recurring basis at the interval specified at the time of purchase. You may cancel at any time, but no refunds will be issued for partial billing periods.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MINTPATH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINTPATH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL MINTPATH'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO MINTPATH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Mintpath LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Florida.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
